Photoshop Academic

I'm getting Photoshop 5.5 from my school at a very low price, but I was wondering if there's any difference between the Academic version and the Retail version other than having a box and printed manuals.

Also can the Academic version be upgraded to CS (8.0) retail ? As soon as I make some cash I'll prolly want to upgrade.

Im not 100% sure on this, but the academic version is exactly the same as the regular version, except that if you start making money off of it, they expect you to purchase a full license. If I'm not mistaken, I dont know if you can upgrade directly from 5.5 to 8.0, check the website it should tell you.
